Effective Date: June 29, 2026. Last Updated: July 22, 2026. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Host," "User," or "Customer") and Deciqe ("we," "us," or "our").
1. Acceptance of Terms & Eligibility
By creating a live session, purchasing a session credit, inviting or allowing participants to join a session, or otherwise accessing any portion of the Deciqe application and services (collectively, the "Service"), you agree to be bound by these Terms.
If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you possess the legal authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not access or use the Service.
- Age Requirement: You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to access or use this Service.
- Commercial Purpose: The Service is designed and intended strictly for business, organizational, professional team, and research use. It is not intended for personal, family, or household consumer use.
2. Early Access Period & Pre-Release Conditions
Deciqe is currently operating in an "Early Access" state. By using the Service during this period, you acknowledge and agree to the following conditions:
- Active Development: The Service is undergoing continuous iteration. Features, workflows, user interfaces, and technical infrastructure may be modified, added, or deprecated at any time without prior notice.
- No Service Level Agreements (SLAs): Any uptime commitments, response times, or support standards referenced in marketing materials do not apply during the Early Access period. The Service may experience unexpected downtime, latency, or bugs.
- Assumption of Risk: You explicitly acknowledge that the Service is provided in its current state of development and that your use of the Service during the Early Access period is strictly at your own risk.
3. Scope of Service & Episodic Live-Session Model
Deciqe provides a self-serve, real-time facilitation tool designed for episodic organizational meetings, workshops, and team events. The core workflow operates as follows:
- The Host submits a prompt or question;
- Admitted participants submit anonymous free-text responses;
- The platform organizes and clusters responses using automated systems; and
- Participants vote on the structured outcomes.
Episodic Utility Model: Deciqe is structured as an episodic event utility, not an ongoing team collaboration suite, persistent workspace, or asynchronous message board. Each purchased session is scoped for a single, discrete meeting event and is governed by strict automated data deletion policies.
4. Session Tiers & Capacity Limits
- Capacity Constraints: Participant capacity limits and feature availability depend on the plan tier purchased. Limits represent the maximum number of simultaneous device connections permitted within an individual live session. Once a session reaches its capacity limit, additional participants will be denied entry.
- Host Responsibility: Hosts are responsible for selecting a tier that matches their expected audience size before starting a session. Session plans cannot be upgraded or modified mid-session once response collection has commenced.
5. Transactional Billing, Credits & Refunds
- Pay-Per-Session: Deciqe operates on a pay-per-session, transactional billing model. There are no recurring subscription contracts or automatic renewals.
- Taxes & Payment Processing: Payments are processed via third-party payment gateways. Listed prices are exclusive of applicable value-added tax (VAT), sales tax, or duties, which will be calculated at checkout based on your billing jurisdiction.
- 30-Day Credit Expiration: Each purchased session credit grants a 30-day window from the date of purchase to activate the session and retrieve results. If a session credit is not activated within 30 days, it will expire permanently without entitlement to a refund or rollover.
- Non-Refundability: Once response collection has been initiated by the Host, the session is deemed "activated" and used in full. Activated sessions, expired credits, or sessions underutilised due to lower-than-expected participant attendance are strictly non-refundable.
- Domain Verification: Access to certain platform features may require signup via a verified corporate or institutional email domain.
6. Host Controls & Technical Safety Gateways
- Session Management: The Host retains primary administrative control over the live session, including setup configuration, response timers, option review, voting activation, outcome reveals, and manual session termination.
- Anonymity Thresholds: To protect participant psychological safety and ensure anonymous reporting, Deciqe enforces a technical minimum engagement baseline. Certain features (such as response clustering or outcome reveals) may remain locked if participant response counts fail to meet this threshold.
- Session Reset Feature: If a session cannot proceed due to insufficient participation, the platform provides a session reset mechanism. Performing a reset permanently erases all collected responses and votes, returning the session to a clean pre-start state without consuming an additional session credit.
7. AI Assistant Connectors & Third-Party Integrations
- Host Authority & Oversight: When integrating external AI assistant platforms (including OpenAI ChatGPT, Codex, or Anthropic Claude) via our Model Context Protocol (MCP) or API connectors, the Host remains the sole administrative authority. The Host is fully responsible for all session preparation parameters, prompts formulated, and actions initiated or authorized through assistant tools.
- Safeguarding Bearer Capabilities: Conductor integrations grant lifecycle management permissions via a 256-bit bearer capability (
session_ref). The Host is responsible for safeguarding this capability. Deciqe does not store raw capability strings and cannot recover lost capabilities across separate assistant conversations. - Entitlement Consumption: Sessions provisioned via AI connectors consume purchased session credits or promotional allocations under standard terms. Complimentary Team sessions (up to 100 participants) provided upon work-email verification are limited to one per verified host inbox.
- Question Integrity & Immutability: The session question and core parameters agreed upon at preparation and verified during host browser authorization cannot be modified via connector tools once the session is created.
- Third-Party Platform Disclaimers: External assistant platforms are operated independently by third parties. Deciqe makes no warranties regarding the continuous availability, uptime, output accuracy, or policy compliance of third-party platforms.
8. Acceptable Use & Content Restrictions
You agree to use Deciqe exclusively for professional, legal, and ethical organisational facilitation. As the Host, you assume full legal responsibility for all prompts asked, session contexts created, and data gathered from your participants.
Prohibited Content & Uses
You represent, warrant, and agree that you will not use Deciqe to:
- Collect Personal Data (PII): Solicit or collect personally identifiable information, including full names, email addresses, phone numbers, home addresses, or employee ID numbers from participants.
- Collect Highly Sensitive Data: Solicit or submit Protected Health Information (PHI/ePHI), Payment Card Industry data (PCI-DSS), bank account details, government-issued IDs, or credentials/passwords.
- Submit Unlawful Content: Broadcast prompts or collect responses that are defamatory, libellous, harassing, obscene, hateful, threatening, or in violation of third-party intellectual property or privacy rights.
- Malicious Exploitation: Attempt to reverse engineer, decompile, scrape, bypass security gates, or introduce malicious code into Deciqe's software, API interfaces, or infrastructure.
Organisational Confidentiality & AI Processing
- Appropriate Data Scoping: Deciqe is not an encrypted repository for classified, trade secret, or highly sensitive corporate state data. Hosts must formulate questions to prevent the submission of proprietary material.
- AI Sub-Processors: To deliver real-time response clustering and synthesis, Deciqe transmits anonymised session inputs to vetted third-party AI processing providers. By using the Service, you grant us permission to process session content through these sub-processors solely to deliver the Service functionality.
- No Obligation to Monitor: Deciqe has no obligation to screen, edit, or monitor submitted content. We accept no liability arising from a Host's decision to process unauthorised or confidential information through the Service.
- Enforcement: Deciqe reserves the right to immediately suspend or terminate any active session that violates these Acceptable Use rules without prior notice, compensation, or liability for refund.
9. Intellectual Property & Data Rights
- Customer Data Ownership: You retain all right, title, and interest in and to your raw prompts, participant responses, votes, and final session exports ("Customer Data"). Deciqe claims no ownership over your Customer Data. You grant Deciqe a temporary, non-exclusive, worldwide, royalty-free licence to host, transmit, format, and display Customer Data solely to provide and maintain the Service for you.
- Deciqe IP Ownership: Deciqe retains all right, title, and interest in and to the Service, including all underlying software, code, algorithms, user interface designs, logos, trademarks, database structures, and analytical models.
- Feedback Licence: If you or your participants submit feedback, feature requests, or improvement suggestions regarding Deciqe ("Feedback"), you assign to Deciqe all right, title, and interest in such Feedback. Deciqe may freely incorporate and commercialise such Feedback into its platform without restriction, attribution, or financial obligation to you.
10. Automated Data Deletion & Retention Policy
To strictly adhere to data minimisation principles:
- Automatic 7-Day Purge: All Customer Data — including session metadata, raw responses, votes, organised clusters, and summary links — is permanently and automatically deleted from Deciqe's active systems seven (7) calendar days after a session is closed.
- Manual Host Wiping: The Host may execute an immediate manual data wipe via the session dashboard upon meeting completion. This action is irreversible, immediately purges all associated session data, and invalidates any public or shared result links.
- Export Responsibility: Hosts are solely responsible for downloading or exporting their session summary reports prior to manual deletion or the automatic 7-day purge window. Deciqe bears no responsibility or liability for data rendered unrecoverable following deletion.
11. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DECIQE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND.
DECIQE EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, DECIQE DOES NOT WARRANT THAT:
- THE SERVICE WILL MEET YOUR SPECIFIC ORGANISATIONAL REQUIREMENTS;
- THE SERVICE WILL OPERATE UNINTERRUPTED, SECURELY, OR ERROR-FREE;

- SESSION DATA WILL BE PERMANENTLY RETRIEVABLE OR PROTECTED FROM UNFORESEEN CORRUPTION OR LOSS.
Decision Guidance Disclaimer: Automated groupings and insights are generated for facilitation assistance only. They do not constitute professional, legal, HR, or financial advice, and should not serve as the sole foundation for major corporate or legal decisions.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DECIQE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
THIS INCLUDES, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF GOODWILL, LOSS OF DATA, WORK STOPPAGE, COMPUTER FAILURE, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE SERVICE.
DECIQE'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF THE SERVICE SHALL BE STRICTLY LIMITED TO THE NET AMOUNT ACTUALLY PAID BY YOU TO DECIQE FOR THE SPECIFIC ACTIVE SESSION CREDIT GIVING RISE TO THE CLAIM.
13. Indemnification
You agree to defend, indemnify, and hold harmless Deciqe, its operators, contractors, and agents from and against any third-party claims, liabilities, losses, damages, demands, or costs (including reasonable legal fees and court costs) arising out of or related to:
- Your breach of any provision of these Terms;
- Any content, prompt, or response submitted or broadcast during a session hosted under your account; or
- Any workplace, employment, legal, or administrative dispute occurring between you, your organisation, and your session participants.
14. Dispute Resolution & Governing Law
- Governing Law: These Terms, and any dispute or claim arising out of or in connection with them, shall be governed by, construed, and enforced exclusively in accordance with the laws of The Netherlands, without regard to its conflict of law principles.
- Jurisdiction: The parties irrevocably agree that the competent courts located in Amsterdam, The Netherlands (Rechtbank Amsterdam) shall have exclusive jurisdiction to settle any legal action, suit, or proceeding arising out of or in connection with these Terms or the Service.
